PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE OUR SERVICES.

These Terms of Service (“Terms”) govern your access to and use of the SYNDi suite of financial software solutions, including iSYNDi, SYNDi Investment Ledger, SYNDi Loan Manager, and SYNDi Mortgage Manager (collectively, the “Services”), provided by SYNDi Group, a division of Indusflow Systems Inc. (“SYNDi Group,” “we,” “us,” or “our”).

  1. Acceptance of Terms

By creating an account, accessing, or using the Services, you represent and warrant that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an entity, you represent and warrant that you are authorized to accept these Terms on such entity’s behalf and that such entity agrees to be responsible to us if you or the entity violates these Terms.

  1. Description of Services

The Services are a suite of financial software solutions designed for financial management, including loan servicing, investment tracking, and fund management. We may update, modify, or discontinue any part of the Services at any time.

  1. User Accounts and Responsibilities
  • Account Registration: To access and use the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • Account Security: You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.
  • Your Content: You are solely responsible for all data, information, and other materials (“User Content”) that you upload, store, or process through the Services. This includes the significant financial and transactional data you input into the Services. You retain all ownership rights to your User Content.
  • Acceptable Use: You agree not to use the Services for any unlawful purpose or in any way that could harm, disable, overburden, or impair the Services. You agree not to:
    • Upload or transmit any material that is illegal, defamatory, abusive, or obscene.
    • Attempt to gain unauthorized access to the Services, other accounts, or computer systems or networks connected to the Services.
    • Use the Services to store or transmit any viruses, malware, or other malicious code.
  1. Technical Support

We provide technical support to help address issues you may encounter with the Services. Our support services include:

  • Responding to your inquiries and feedback.
  • Providing assistance with technical issues related to the functionality of the Services.
  • Sending you service-related announcements, technical notices, updates, and support messages.

Support is available through the contact methods listed in the “Contact Us” section. While we strive to provide timely and effective support, we do not guarantee immediate responses or that all issues will be resolved. Our support services do not extend to issues arising from your hardware, internal networks, third-party software, or user error.

The technical support defined in these Terms of Service does not extend rights to the Business Care support services we provide separately. Those services are governed by a separate Business Care contract.

  1. Fees and Payment

You agree to pay all applicable fees for the Services as described on our website or in a separate agreement with us. We process payments for your purchases or subscriptions to use our Services. All fees are non-refundable, except as required by law or as otherwise stated in your agreement with us.

  1. Intellectual Property

All rights, title, and interest in and to the Services and its components, including all related intellectual property rights, will remain with and belong exclusively to SYNDi Group. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Services for your internal business purposes, subject to these Terms.

  1. Confidentiality

“Confidential Information” means any information disclosed by one party to the other that is designated as confidential. We will not disclose your Confidential Information to third parties, except to our parent company, affiliates, subsidiaries, and trusted third-party service providers as described in our Privacy Policy.

  1. Data Security

We implement reasonable technical, administrative, and physical safeguards to protect your personal information. This includes encryption for data in transit and at rest, and restricting access to authorized personnel. However, no method of transmission over the Internet or method of electronic storage is 100% secure, and we cannot guarantee its absolute security.

  1. Term and Termination

These Terms will remain in full force and effect while you use the Services. We may suspend or terminate your access to the Services at any time, for any reason, including for any breach of these Terms. Upon termination, your right to use the Services will immediately cease.

  1. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT WILL SYNDI GROUP, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COVER, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, REVENUE, GOODWILL, USE, OR CONTENT) HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT, WARRANTY, NEGLIGENCE, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED AS TO THE POSSIBILITY OF SUCH DAMAGES.

  1. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or provincial courts located in Markham, Ontario.

  1. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated terms on our website or through other appropriate communication channels. Your continued use of the Services after the effective date of the revised terms constitutes your acceptance of the changes.
